By accessing or using ClaroFlow, you agree to these Terms.

1. Eligibility and Authority

You must be at least 18 years old and have authority to bind the organization you represent.

If you use ClaroFlow on behalf of a company or entity, you agree to these Terms on its behalf.

2. Description of Service

ClaroFlow is a cloud-based document processing and workflow automation platform that extracts, organizes, validates, and routes structured data from user-uploaded documents.

We may update, modify, or enhance the Service at any time.

3. Accounts and Security

You agree to:

• Provide accurate account information
• Maintain the confidentiality of login credentials
• Restrict unauthorized access to your account

You are responsible for all activity under your account.

4. Acceptable Use

You may not:

• Use the Service for unlawful purposes
• Upload malicious code
• Attempt to reverse engineer or copy the Service
• Interfere with platform security
• Upload content you do not have legal right to process

We reserve the right to suspend or terminate accounts violating these Terms.

5. Customer Data Ownership

You retain ownership of all documents and data you upload ("Customer Data").

You grant Digify Platforms, Inc. a limited, non-exclusive license to:

• Process Customer Data to provide the Service
• Store and secure Customer Data
• Use anonymized and aggregated data to improve the platform

We do not sell Customer Data.

6. AI and Automated Processing Disclaimer

ClaroFlow uses automated systems and machine learning technologies to extract and structure data.

You acknowledge:

• Extraction accuracy is not guaranteed
• You are responsible for reviewing and verifying data before relying on it
• The Service does not replace professional, financial, or legal judgment

7. Fees and Payment

If you subscribe to a paid plan:

• Fees are billed in advance
• Subscriptions renew automatically unless canceled
• Fees are non-refundable except where required by law

Failure to pay may result in suspension or termination.

8. Intellectual Property

All software, models, algorithms, branding, and platform content (excluding Customer Data) are the exclusive property of Digify Platforms, Inc.

You receive a limited, non-transferable, non-exclusive license to use the Service.

9. Termination

You may cancel your account at any time.

We may suspend or terminate access if:

• You violate these Terms
• Payment obligations are unmet
• Required by law

After termination, Customer Data may be retained for a limited period for backup and legal compliance purposes.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE."

We do not guarantee:

• Uninterrupted access
• Error-free operation
• 100% document extraction accuracy

11. Limitation of Liability

To the maximum extent permitted by law:

Digify Platforms, Inc. shall not be liable for indirect, incidental, consequential, or punitive damages.

Total liability shall not exceed the amount paid by you in the preceding twelve (12) months.

12. Indemnification

You agree to indemnify and hold harmless Digify Platforms, Inc. from claims arising from:

• Your use of the Service
• Customer Data you upload
• Violation of these Terms

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms from time to time. Continued use constitutes acceptance of revised Terms.
